Resignation



          Dear DataCAD Friends and Fans,

          I am glad to see so much interest in DataCAD and Cadkey,
          Inc.  I would like to address some of the issues that have
          arisen recently.  If I do not do so satisfactorily, I know
          that I will hear from some of you and will continue the
          dialogue.

          The DataCAD strategy (low price, heavy direct mail) has been
          an incredible success for us.  In one year, we have sold
          more than 30,000 units worldwide.  The departure of Malcolm
          Davies was not in any way related to the DataCAD strategy.
          As the architect (forgive me) of the plan, he deserves an
          a great deal of credit for the success.

          We are very pleased with the early results from the DataCAD
          6 campaign.  Upgrades and new unit sales look very strong.
          We are also pleased with the early market reaction to the
          DataCAD Estimator. Unfortunately, the link between the
          Estimator and DataCAD has not yet been completed.  We will
          probably ship the stand alone Estimator now and follow
          with the link after the first of the year.

          As far as the Windows product is concerned, it remains our
          intention to release a product during the first half of
          1995.  We wish that it could be sooner.  We know that that
          is where the action is.  We will get there as soon as we
          can.
